These Terms of Service (“Terms”) govern your use of the Westmark Filing website and your engagement of our services. Westmark Filing (“Westmark”) is owned and operated by Molai Global LLC, a Florida limited liability company with its principal office at 1688 Meridian Avenue, Suite 600 & 700, Miami Beach, Florida 33139, USA. By using this site or engaging our services, you agree to these Terms with Molai Global LLC.

1. Services

Westmark provides U.S. business formation, registered agent, compliance filing, and related administrative and advisory services. The scope, fees, and terms of any specific engagement are set out in the engagement confirmation provided to you.

2. Not legal, tax, or financial advice

Westmark is not a law firm, accounting firm, or financial institution. Nothing on this website or in our communications constitutes legal, tax, or financial advice. Educational content is provided for general information only. You should consult qualified professionals licensed in the relevant jurisdictions before making legal or tax decisions.

3. Client responsibilities

  • Provide accurate, complete, and current information for all filings;
  • Use our services only for lawful purposes; we do not serve businesses engaged in illegal activity or persons subject to applicable sanctions;
  • Respond promptly to compliance notices we forward to you;
  • Pay state fees, taxes, and service fees when due.

4. Fees and refunds

Service fees are quoted before engagement. State filing fees and government charges are non-refundable once submitted. Service fees for work not yet begun are refundable on request; work in progress is billed proportionally.

5. Registered agent appointment

Where you appoint Westmark as registered agent, you authorize us to receive service of process and official correspondence on your company’s behalf. We are responsible for forwarding documents promptly to your designated contact; you are responsible for keeping that contact information current. Failure to maintain current contact information relieves Westmark of liability for undelivered documents.

6. Limitation of liability

To the maximum extent permitted by law, Westmark’s aggregate liability arising out of any engagement is limited to the fees paid for the service giving rise to the claim. Westmark is not liable for indirect, incidental, or consequential damages, nor for outcomes determined by government agencies, banks, or third-party platforms.

7. Intellectual property

All content on this website is the property of Molai Global LLC and may not be reproduced without permission, except for personal, non-commercial reference.

8. Termination

Either party may terminate an ongoing service (such as registered agent representation) with written notice. Statutory obligations — including appointing a successor registered agent — remain yours upon termination.

9. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

10. Changes

We may revise these Terms from time to time. Continued use of the site or services after changes constitutes acceptance.
